Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Mistri Figma plugin and the website at mistri.ai (collectively, the "Service"), operated by Mistri AI, with its principal place of business at Bengaluru, Karnataka, India ("Mistri AI", "we", "us"). By installing the plugin, creating an account, or using any part of the Service, you ("you" or the "User") agree to these Terms.
1. Eligibility
You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. The Service
Mistri is a Figma plugin that helps users draft user-interface designs from text prompts. The Service is provided on a subscription and credit basis as described under Pricing on our website.
3. Account and Identity
- Trial: The Service may be used as a guest, identified by your Figma user id, for a limited number of generations.
- Sign-in: Continued use requires sign-in via Figma OAuth or Google OAuth.
- You are responsible for maintaining the confidentiality of your authentication tokens and for all activity under your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, harassing, or infringing purpose;
- Attempt to circumvent credit limits, trial gates, or abuse-prevention measures (including by creating multiple accounts to obtain trial credits);
- Reverse-engineer, decompile, or attempt to extract the source code of the plugin except as expressly permitted by applicable law;
- Submit prompts that contain personal data of third parties without lawful basis, child sexual abuse material, content promoting violence or hate, or content that infringes intellectual-property rights.
5. Subscriptions, Credits and Billing
Paid plans are billed in advance on a monthly or annual cycle in Indian Rupees (INR) through a Reserve-Bank-of-India-authorised, PCI-DSS Level 1 compliant payment gateway. All prices on the website are inclusive of any applicable Indian taxes unless stated otherwise. The total amount payable, including taxes, is shown on the checkout screen before you confirm a payment.
- Monthly credits reset at the end of each billing period and do not roll over beyond the period stated for your plan.
- Top-up credits purchased ad-hoc do not expire.
- Failed renewals will downgrade your account to the Free tier after a 7-day grace period. We may retry the charge up to three times within that window before downgrading.
- Cancellation takes effect at the end of the current billing period. The plan remains active until then.
- Mid-cycle plan upgrades are charged on a prorated basis. Mid-cycle downgrades take effect from the next billing period. We do not refund the difference.
6. Auto-Renewal and Recurring Payments
Paid subscriptions renew automatically at the end of each billing period for the same term and amount, until cancelled by you. By starting a paid subscription, you authorise us to charge the saved payment instrument on file at the start of each renewal period in accordance with the Reserve Bank of India's framework for processing of e-mandates on recurring online transactions.
- The first payment is authenticated using an Additional Factor of Authentication (AFA) such as OTP, UPI PIN, or 3-D Secure, as applicable to the chosen payment instrument.
- For renewal charges above the prevailing AFA threshold prescribed by the RBI, we will request a fresh AFA at the time of debit.
- You will receive a pre-debit notification by email at least twenty-four (24) hours before each renewal charge, identifying the amount, date, and merchant.
- You may cancel the e-mandate or the subscription at any time from Settings → Billing → Manage subscription in the plugin or by writing to billing@mistri.ai. Cancellation prevents future charges. Charges already initiated cannot be reversed mid-flight.
- If the saved payment instrument expires, is revoked, or fails AFA, the renewal will not go through and your account will move to the grace-period flow described in section 5.
7. Permitted Payment Methods
Subject to availability through our payment processor, we accept:
- Unified Payments Interface (UPI) and UPI-based recurring mandates;
- Credit cards and debit cards issued in India and abroad on the Visa, Mastercard, RuPay, American Express, and Diners networks (subject to the issuing bank's controls);
- Net banking from major Indian banks;
- Prepaid wallets supported by the payment processor.
We do not store full card numbers, CVV, expiry, OTP, UPI PIN, or net-banking credentials at any time. Card details are tokenised by the payment processor in accordance with the RBI's tokenisation framework. We receive only a network token and the last four digits for display.
8. Refunds
Our Refunds and Cancellation Policy is published at /refunds and forms part of these Terms.
9. Intellectual Property
9.1 Our IP.
The Service, including the plugin, the website, the design system, the working-companion mascot, and all associated trademarks and content, is owned by Mistri AI and protected by Indian and international IP laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
9.2 Your content.
You retain all rights in the prompts you submit and the designs the Service generates for you ("User Content"). You grant us a limited licence to process User Content solely to operate the Service. We do not use User Content to train AI models.
10. Third-Party Services
The Service depends on third-party providers for hosting, identity, payments, large-language-model inference, and analytics. The current list of categories of recipients is published in our Privacy Policy. Your use of those services through Mistri is subject to their respective terms. We may change individual providers from time to time without amending these Terms.
11. Compliance and Applicable Law
We operate the Service in compliance with the laws of the Republic of India. Without limitation, this includes:
- The Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011;
- The Digital Personal Data Protection Act, 2023;
- The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020;
- Applicable Indian tax laws;
- The Foreign Exchange Management Act, 1999, where applicable to cross-border transactions;
- Reserve Bank of India guidelines for Payment Aggregators, Payment Gateways, and the processing of e-mandates on recurring online transactions;
- Card-network rules and the Payment Card Industry Data Security Standard (PCI-DSS) as observed by our payment processor.
The Service is not intended for, and may not be used in, jurisdictions where the use of such services is prohibited by applicable law, sanctions, or export-control regulations.
12. Disclaimers
The Service is provided "as is" and "as available." AI-generated outputs may be inaccurate, incomplete, or unsuitable for any particular purpose. You are responsible for reviewing them before use. We disclaim all warranties to the maximum extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
14. Termination
14.1 Termination by us
We may suspend or terminate your access to the Service, and in serious cases permanently delete your account without a grace period, on any of the following grounds:
- Material breach of these Terms or our Acceptable Use rules (Section 4);
- Suspected abuse, including credit-trial reabuse, automated scraping, or use that materially burdens our infrastructure;
- Chargeback fraud or other payment-related misconduct;
- Court order or directive from a competent authority, including the Data Protection Board under the DPDP;
- Protracted inactivity (12 consecutive months with no sign-in), following a 48-hour pre-deletion notice to your registered email.
Where we terminate an account on the grounds above, we record the action in our write-once-read-many audit log (see Privacy Policy §8). For grounds other than a court order, we email the affected user a brief, user-facing reason at the registered address.
14.2 Termination by you
You may terminate your account at any time. Two equivalent methods are available:
- In-product, sign in at mistri.ai/dashboard and use the "Delete account" surface. Deletion enters a 30-day grace period during which you may cancel via the in-product banner or the link in the confirmation email.
- By email, write to support@mistri.ai with the subject "Delete my account" from the address registered on your Mistri account.
14.3 Effect of termination
On termination, your profile, sessions, generation history, design systems, and account artifacts are deleted from our production database within 30 days (immediately for an admin-initiated purge). Certain records are retained as required by Indian law and our risk-management obligations:
- Tax invoices for 8 years (Companies Act 2013 §128; CGST Act §35);
- Payment ledger (pseudonymised) for 5 years (Prevention of Money Laundering Act §12);
- Card-network chargeback evidence for 540 days from the transaction (Visa and Mastercard rules);
- A one-way hash of your email and OAuth identifier for 24 months, used solely to detect trial reabuse (legitimate interest. See Privacy Policy §7);
- The write-once-read-many lifecycle audit log for 7 years.
Encrypted backup snapshots may continue to reflect your data for up to 7 days post-deletion, in accordance with our hosting provider's rolling-backup schedule. See Privacy Policy §9.
15. Governing Law and Disputes
These Terms are governed by the laws of the Republic of India. Subject to the consumer-protection rights described below, any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka. Consumers may, in addition, refer disputes to the Online Consumer Disputes Resolution mechanism notified under the Consumer Protection (E-Commerce) Rules, 2020 or to the appropriate Consumer Disputes Redressal Commission.
16. Changes to These Terms
We may revise these Terms from time to time. Material changes will be notified via the website or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
